TERMS & CONDITIONS OF SALE
All quotations are given, and all orders are accepted under these terms and conditions, which shall override and exclude any other terms stipulated, incorporated, or referred to by the Customer, whether in negotiations or through any course of dealing established between the Company and the Customer. All orders placed by the Customer shall be deemed to be made subject to these terms and conditions to the exclusion of the Customer’s stated terms and conditions of purchase. The signing of any of the Customer’s documentation by the Company shall not imply any modification of these terms. These conditions and any contract provisions shall not be suspended, amended, or waived except with the express written agreement of the Company. No representative, agent, or salesperson who is not a Director of the Company has any authority to amend or waive any of these terms and conditions or other provisions of the contract.
1. Suitability for Galvanizing
The Company takes every care in processing but assumes no responsibility for articles deemed unsuitable for hot-dip galvanizing. All materials must be ferrous and should be new or have only mill-rust. The Company will galvanize articles in accordance with the UAE-approved galvanizing standards based on BS EN ISO 1461:2022 or equivalent industry benchmarks.
2. Masking and Protection of Protruding Threads
The Customer must clearly indicate any surface that does not require galvanizing. The feasibility of masking must first be ascertained by the Customer. The Company will apply masking at an additional charge but does not guarantee complete prevention of zinc pickup.
3. Surface Conditions and Markings
All articles must be free from paint, preservatives, oil, grease, varnish, heavy rust, scale, and residues from anti-splatter compounds. The removal of such materials will incur additional charges. Water-soluble paints are acceptable for temporary identification marks.
4. Welding Slag
It is the Customer’s responsibility to remove all welding slag and anti-splatter compounds, as these will not be removed in the galvanizing process. The Company reserves the right to impose additional charges for grit blasting, cleaning, or stripping previous coatings.
5. Venting and Drainage
Sealed compartments immersed in a galvanizing bath may explode due to heat expansion. Tanks, vessels, tubular components, sealed cavities, plates welded together, and hollow sections must be properly vented and drained. If requested, the Company can perform venting at the Customer’s cost but takes no responsibility for damage resulting from this process. The Customer indemnifies the Company against any losses resulting from insufficient venting.
6. Design, Suspension, and Clearance
- Fabricated frames and gussets should have cropped corners for zinc flow. Additional suspension holes may be required and will be drilled at an extra charge at the Customer’s sole risk.
- Threaded bolts should allow for a 0.4mm (0.015”) tolerance unless nuts are galvanized blank and tapped oversize. A 1.0mm (0.04”) clearance should be maintained if movement is required post-galvanizing.
- The Customer acknowledges that high silicon or sandeline steels may react differently to zinc, affecting coating thickness. The Company is not responsible for such variations.
7. Distortion of Materials
The Company assumes no liability for distortion, cracking, or damage caused by heating during the galvanizing process. Customers are advised to follow the guidelines provided in ASTM A384 and consult the company on design aspects to minimize such risks.
8. Damage and/or Loss
- The Company is not liable for indirect, consequential, or economic losses, including loss of profits, contracts, or business.
9. Delivery
- The Company is not liable for losses due to delivery delays.
- Delivery occurs when goods are unloaded at the Customer’s premises or a designated location. For Customer pickups, delivery is when goods are loaded onto the collection vehicle.
10. Quality and Inspection
The Company performs visual inspections only upon written agreement. The Customer must inspect goods immediately upon delivery or before packing for shipment. Complaints after 5 days or post-processing (e.g., painting, welding) will not be entertained. Defective goods returned within the inspection period will either be re-galvanized or repaired, at the Company’s discretion.
11. Prices and Terms
Prices are based on post-galvanizing weight and are subject to market fluctuations in zinc pricing. Overdue amounts will incur 12% annual interest.
12. Sub-Contracting
The Company reserves the right to subcontract any part of the work.
13. Force Majeure
The Company is not liable for delays due to strikes, supply shortages, transport disruptions, natural disasters, or government restrictions.
14. Lien and Right of Resale
The Company retains a lien over all goods for outstanding payments. After 3 months of non-payment, the Company may sell the goods and deduct the outstanding amount before returning any surplus.
15. Suspension of Work and Termination
The Company reserves the right to suspend or terminate contracts in cases of non-payment, insolvency, or legal action against the Customer.
16. Arbitration and Governing Law
Any disputes shall be resolved under UAE law through arbitration in Abu Dhabi, as per the UAE Arbitration Law (Federal Law No. 6 of 2018). The courts of the UAE shall have non-exclusive jurisdiction.
